These Terms of Service (“Terms”) govern your access to and use of the CompanyInsights.AI website, platform, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About CompanyInsights.AI

CompanyInsights.AI (“CompanyInsights,” “we,” “our,” or “us”) provides enterprise software and services that enable organizations to query, analyze, and interact with their own knowledge using Retrieval-Augmented Generation (RAG), agentic workflows, and AI-powered reasoning.

Our Services are intended for business and enterprise use only.

2. Eligibility and Authority

You represent and warrant that:

• You are at least 18 years old

• You have the authority to bind yourself or the organization you represent

• Your use of the Services complies with applicable laws and regulations

If you are using the Services on behalf of an organization, that organization is responsible for compliance with these Terms.

3. Accounts and Access

3.1 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of account credentials

• All activity that occurs under your account

• Ensuring users are authorized and properly trained

You must promptly notify us of any unauthorized use or security incident.

3.2 Suspension or Termination

We may suspend or terminate access if:

• These Terms are violated

• Use poses a security, legal, or operational risk

• Required fees are not paid

4. Customer Data and Ownership

4.1 Ownership

You retain all ownership rights to documents, content, data, and materials you upload or connect to the Services (“Customer Data”).

CompanyInsights.AI does not claim ownership over Customer Data.

4.2 Data Processing

You grant CompanyInsights.AI a limited right to process Customer Data solely to:

• Provide and operate the Services

• Generate responses based on your data

• Maintain audit logs and usage analytics

Customer Data is not used to train public or shared AI models.

5. Acceptable Use

You agree not to use the Services to:

• Violate laws, regulations, or third-party rights

• Upload malicious code or attempt unauthorized access

• Generate content that is unlawful, abusive, or deceptive

• Reverse engineer or attempt to extract proprietary system logic

We reserve the right to investigate and take action against misuse.

6. AI Outputs and Limitations

6.1 AI-Generated Content

The Services generate responses using AI models grounded in Customer Data and configured system behavior.

While designed for accuracy and traceability:

• AI outputs are not guaranteed to be error-free

• You are responsible for reviewing outputs before reliance

• The Services do not provide legal, medical, or financial advice unless expressly agreed in writing

6.2 No Guarantees of Outcomes

CompanyInsights.AI does not guarantee specific business outcomes, decisions, or performance improvements resulting from use of the Services.

7. Audit Trails and Usage Metrics

The platform may record:

• Questions, responses, personas, citations, and model metadata

• Usage statistics and analytics

These records exist to support transparency, compliance, quality improvement, and enterprise governance.

Retention and access are governed by customer configuration and agreements.

8. Fees and Payment

Fees, billing terms, and payment schedules are defined in:

• Order forms

• Statements of Work (SOWs)

• Subscription agreements

Unless otherwise stated:

• Fees are non-refundable

• Taxes are the customer’s responsibility

9. Intellectual Property

9.1 CompanyInsights.AI IP

We retain all rights to:

• The platform, software, and system architecture

• Pre-built personas, templates, workflows, and methodologies

• Documentation and marketing materials

9.2 Feedback

If you provide feedback or suggestions, we may use them without restriction or obligation.

10. Confidentiality

Each party agrees to protect the other’s confidential information and use it only to perform obligations under these Terms.

Confidential information does not include information that is publicly available or independently developed.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• IMPLIED WARRANTIES OF MERCHANTABILITY

• FITNESS FOR A PARTICULAR PURPOSE

• NON-INFRINGEMENT

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• COMPANYINSIGHTS.AI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES

• TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

13. Indemnification

You agree to indemnify and hold harmless CompanyInsights.AI from claims arising from:

• Your use of the Services

• Customer Data you provide

• Violations of these Terms or applicable law

14. Term and Termination

These Terms remain in effect until terminated.

Upon termination:

• Access to the Services may be disabled

• Customer Data handling follows the applicable agreement

• Sections regarding ownership, confidentiality, disclaimers, and liability survive

15. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles.

16. Changes to These Terms

We may update these Terms periodically. Updates will be posted with a revised “Last Updated” date.

Continued use of the Services constitutes acceptance of updated Terms.
